This agreement applies to all users, whether registered or not, and governs your use of the Service. If you do not agree with any or all of these Terms and Conditions, we kindly request that you refrain from using the Service.

In the event of any inconsistencies between the regulations stated in the Terms and Conditions and the provisions of the privacy policy, the Terms and Conditions shall take precedence.

We kindly request that you maintain a respectful approach. It is prohibited to attempt hacking our servers, send spam, or violate any other rules, regulations, or laws. We greatly value our collaboration with you, but we kindly ask that you refrain from engaging in any malicious activities using our Brand. The following are actions that are strictly prohibited.
This Reasonable Use Policy has been established to ensure fairness for both users and developers when utilizing the Service and filekit Desktop.

If filekit determines that you have violated this policy, your account or subscription to the service may be temporarily or permanently suspended or terminated.
filekit websites operate as a Software as a Service (SaaS) and utilize cookies to ensure the proper functioning of the service. Essential cookies are necessary for the service to operate correctly. Additionally, a minimal number of non-essential cookies will be used with your consent. If you do not accept, manage, or reject the use of cookies, consent will be assumed through the use of our software. However, you can give or withdraw consent for these cookies on our webpage at any time.
filekit accounts offer users the opportunity to utilize the services and capabilities that we introduce and maintain at our discretion. We maintain multiple account types to accommodate different user profiles, allowing them to operate within designated boundaries concerning the size and number of files. The user types available for our service are as follows:
User is solely responsible for the activity that occurs on his account and must keep his account password secure.
filekit retains the right to completely or partially discontinue the provision of any of its services at its sole discretion. Advance notification will be exclusively provided to Premium Users. In such instances, users will be subject to applicable taxes in accordance with the prevailing regulations, assuming payment responsibility as passive subjects of these operations.
You hold the responsibility for any actions performed using your Account, therefore it is essential to ensure the strength of your password and refrain from allowing unauthorized usage.
filekit does not examine the content of files during the processing phase, and once filekit has completed the processing, only the Users will have access to the modified files. If desired, Users can share the corresponding link with others. Depending on the specific tool utilized, filekit will automatically remove processed files from their servers after a designated period.
Certified signatures and signature requests will be retained for the duration mandated by applicable laws, whereas simple signatures will be automatically erased after a period of 2 hours.
Users have the sole responsibility for the utilization of their own files
filekit's role is restricted to providing users with access to their processed files. These files will be stored on our servers only for the duration that the download link remains available.
filekit ensures the provision of comprehensive information to aid users in file processing. However, the user alone bears the responsibility for reaching out to filekit in case of any technical issues. filekit places great emphasis on file security, as evidenced by its strategically positioned servers with limited access and robust safeguards. Users retain the flexibility to modify their User type or cancel their account at any time using the contact form.
filekit does not analyze the content of processed files and thus is not responsible for its tools misuse nor copyright infringements which may affect third- parties. The User will be responsible before filekit of any penalty, sanction, and/or fine which the courts or other competent authorities could issue against filekit for noncompliance with any part of this Agreement.
Specifically, users are obligated to utilize the Service in compliance with prevailing laws and adhere to the aforementioned rules outlined in section 1.1.
We do not access or analyze the content of your files. If you encounter any technical issues, it is your responsibility to contact us. We do not assume liability for the content of your files, as you are solely accountable for their contents.
filekit Signature enables users to sign their own documents or request signatures from other users via email delivery. Signers are given the opportunity to review the document before applying their signature.
The requester can choose to send a simple electronic signature request or activate the certified signature option, which includes an EIDAS listed TimeStamp to enhance legal validity.
Additionally, along with the final version of the document, we offer an Audit Trail that captures details from the requester and signers, ensuring transparency throughout the entire process.
All documents containing certified signatures are securely stored on filekit's servers for procurement purposes.
Please be aware that once the signature process is completed, you are solely responsible for safeguarding the document(s).
filekit endeavors to ensure that its services adhere to the requirements outlined in the U.S. Electronic Signature in Global and National Commerce Act of 2000 (ESIGN), the Uniform Electronic Transactions Act (UETA), and the European Union eIDAS (EU No.910/2014).
We offer a comprehensive audit trail, certified signatures, timestamps, and signature biometric tracing, all of which hold legal significance in jurisdictions worldwide.
If necessary, filekit is prepared to provide the certified document and audit trail as mandated by a court of law. However, we cannot be held liable if the document is not upheld or deemed insufficient.
filekit provides two distinct types of signatures: e-signatures and certified signatures. e-Signatures are available for free, but may be subject to limitations on processing size or quantity (refer to pricing for additional information). Premium users receive a predetermined number of certified signatures each month at no extra cost, and we also offer prepaid packs for additional purchase. These packs allow the use of certificates beyond those included with your subscription or previously acquired packs.
To ensure complete transparency during the signature process, filekit may gather the following information for the audit trail, which will be accessible to all relevant parties:
filekit's signature tool, known as "Sign PDF," provides additional features and considerations regarding usage and legal implications. These services enable you to electronically sign documents. However, it is important to note that filekit is not responsible for and cannot guarantee the suitability of an eSignature for fulfilling any specific legal requirements. Before using the Sign PDF tool, we strongly advise you to carefully read this entire section.
Becoming a Premium user is only possible through a paid subscription. Once the first payment is made, the subscription starts, and it is a recurring billing transaction. Unless stated otherwise, your subscription and billing authorization will continue indefinitely until you cancel it. By subscribing and authorizing the payment, you allow us to bill you for the purchased service at the agreed price. The billing rate may change during the subscription period, but existing Premium users will continue to pay the same amount they subscribed to. Your payment method will be charged until you cancel your subscription, unless specified otherwise. The service will be billed based on the acquisition date and cost. You have the option to cancel your subscription at any time, but the cancellation will be effective at the end of the current billing period, and no refund will be provided for the remaining period. If you have availed a free Premium trial period, any unused portion of it will be forfeited upon purchasing a subscription. We reserve the right to issue refunds at our sole discretion, and the decision to do so does not create an obligation for future refunds or credits.
You can cancel your Premium account at any time; however, there will be no refunds for cancellations. In the event that filekit suspends or terminates your account or this Agreement, you acknowledge and agree that you will not receive a refund or exchange for any unused time on a subscription or any fees associated with the Service.
It is essential to provide accurate, complete, and current information for any purchase or transaction with the Service. You are responsible for all charges incurred using your payment method. Applicable taxes related to your purchases are your responsibility.
This Offer, provided by filekit, grants you access to the filekit Premium Service for a seven (7) day Free Trial Period upon activating it by submitting your payment details. By submitting your payment details, you accept the Offer, consent to the use of your payment details in accordance with our Privacy Policy, and agree to the filekit Terms and Conditions of Use and these Offer Terms and Conditions. If you decide not to become a paying user after the Free Trial Period, you must cancel your subscription before the end of the trial. Otherwise, you will automatically become a paying user, and your payment method will be charged the current filekit Premium subscription fee monthly/yearly until you cancel your subscription. Please note that you will receive a confirmation notice from filekit prior to the end of the Free Trial Period, reminding you of the upcoming payment. Payments are nonrefundable, and no refunds will be provided for partially used periods of Service, unless otherwise determined by filekit on a case-by-case basis. If you cancel your subscription during a free trial, the cancellation will take effect immediately, and you will be switched to the Free Service. This Offer can only be used once, and if you have previously subscribed to the Premium service or availed a trial offer, you are ineligible for this Offer. filekit reserves the right to modify this Offer at any time without prior notice.
Unless stated otherwise, your subscription will continue until you cancel it. Refunds will not have a retroactive effect, and you are responsible for paying any applicable taxes associated with our services.
The use of the service is at your own risk, and to the extent permitted by applicable law, it is provided without warranties of any kind. filekit does not guarantee that the service will meet your requirements, be available at all times or locations, uninterrupted or secure, or free of viruses or other harmful components. Any content downloaded or obtained through the service is done at your own risk, and you are solely responsible for any damage to your devices or loss of data resulting from such download or use of the service. filekit does not endorse or guarantee any products or services advertised or offered by third parties through the filekit service, and filekit will not be involved in any transaction between you and third-party providers.
You use filekit at your own risk. We provide no warranty regarding the Service.
To the maximum extent permitted by applicable law, filekit and its employees shall not be liable for any direct, indirect, punitive, incidental, special, consequential, or exemplary damages arising from or related to any breach of this agreement. filekit shall not be responsible for any damages, loss, or injury resulting from unauthorized access or use of the service, your account, or the information contained therein, including hacking or tampering.
We expressly disclaim liability for consequential damages resulting from using or misusing our services.
filekit exclusively owns all the rights to the web application and its functionalities, including reproduction, translation, adaptation, distribution, and publication through various media. The license granted to users does not extend to the intellectual property rights of the Service. Users are authorized to use the Service software, and any other use requires explicit authorization from filekit. Unauthorized execution, reproduction, exploitation, alteration, distribution, or public communication of the copyright property of filekit is strictly prohibited. Breach of these obligations may result in claims, suspension of Service, or termination of the Contract at the discretion of filekit, as outlined in Clause 9.
We hold exclusive rights to the website and mobile app, and we are the only authorized entity to utilize our services. Considerable effort has been invested in their creation.
All contents on this site, including brands, logos, drawings, texts, images, databases, codes, and other materials, belong to filekit or third parties who have granted permission for their use. Any commercial use, public communication, distribution, or exploitation of these materials, including transformation or alteration, is strictly prohibited. We expressly disclaim liability for any consequential damages resulting from the proper or improper use of our services.

Similarly, we are a registered trademark, and copying our brand identity is prohibited.
filekit reserves the right to unilaterally terminate the current Contract under the following circumstances: a) User's breach of any obligations or warranties stated in this Agreement. b) Infringement of intellectual property rights or any other third-party rights. c) Failure to make timely payment of fees for the Software or Services. d) Legal requirements that mandate termination (e.g., if providing software to a specific region becomes unlawful). e) Discontinuation of Services or Software, in whole or in part, due to practical or regional constraints.
The termination of the Contract does not affect filekit's ability to claim corresponding damages and losses. Users have the option to cancel their account at any time through their Account page or the available online contact form.
In some scenarios, we might stop offering our services to you.
For any claims, complaints, or inquiries related to the Contract or the Service, Users can contact filekit via the online form.
Users are not permitted to assign, subrogate, or transfer the rights under the current Contract to third parties without prior written consent from filekit. Similarly, copying our brand identity as a registered trademark is prohibited.
The omission or delay in exercising any right or demanding the fulfillment of any obligation under this Contract shall not constitute a waiver of such right or demand, nor shall it waive any other rights or demands for the fulfillment of obligations. This Contract, including the incorporated Privacy Policy, constitutes the final, complete, and exclusive agreement between the parties regarding the subject matter and supersedes any prior agreements or negotiations between them. If any clause of this Contract is deemed null due to a violation of applicable legislation, such clause shall be considered ineffective but shall not affect the remaining provisions, which shall remain fully valid and enforceable between the parties.
These Terms and Conditions constitute the sole agreement between the parties (you and us) and shall be the only agreement considered.
This Contract is of a commercial nature and shall be interpreted and enforced according to its terms. In unforeseen circumstances, it shall be governed by South Korean law. To the extent permitted by law, any disputes arising from the validity, interpretation, performance, or execution of this Contract shall be subject to the jurisdiction and authority of the courts in the city of Seoul, with express waiver of any other jurisdiction that may correspond.
